Kale Tournaments – Official Rules
PURCHASE MAY INCREASE YOUR CHANCES OF WINNING.
These Official Rules (“Rules”) govern participation in promotional tournaments (each, a “Tournament”) offered through the Kale mobile application or website (collectively, the “Platform”) by Palette Technologies Inc., d/b/a Kale (“Kale”), and/or one or more brand partners identified on the Tournament page (each, a “Sponsor”).
By participating, you agree to be bound by these Rules and by Kale’s Terms of Use
In the event of any inconsistency between these Rules and the information displayed on a Tournament page, the information displayed on the Tournament page shall control.
1. Sponsor
Each Tournament is sponsored by Palette Technologies Inc. (d/b/a Kale) and/or the brand partner(s) identified on the Tournament page within the Platform (collectively, the “Sponsor”).
2. Eligibility
Tournaments are open only to individuals who:
Are 18 years of age or older at the time of participation
Are legal residents of the United States or Canada (excluding Quebec, if required by law, unless otherwise stated)
Have a valid Kale account in good standing
Employees, officers, directors, contractors, and immediate family members of Kale or any Sponsor are not eligible.
Void where prohibited by law.
3. Tournament Period
Each Tournament begins and ends at the dates and times displayed on the Tournament page within the Platform (the “Tournament Period”).
Kale’s servers are the official timekeeping devices.
4. How to Participate & Earn Points
During the Tournament Period, eligible participants may earn points by completing actions (“Actions”) that are made available and described on the applicable Tournament page within the Platform.
The type of Actions, eligibility requirements, point values, completion limits, and verification criteria vary by Tournament and are determined solely by the Platform and/or Sponsor. All applicable details are displayed in the Platform and may be updated during the Tournament Period.
Participants are responsible for reviewing the Tournament page for the current list of Actions and requirements. Only Actions completed in accordance with the instructions provided in the Platform will be eligible for points.
5. Purchases & Chances of Winning
Some Tournaments may include Actions that involve purchases from participating brands. Where applicable, purchases may increase a participant’s chances of winning by awarding additional points, including points calculated based on the amount spent, as disclosed on the Tournament page.
Purchase-related Actions may be subject to caps, exclusions, or verification requirements, as displayed in the Platform.
6. Leaderboard & Scoring
Participants are ranked on a Tournament leaderboard based on total points earned during the Tournament Period.
Points have no cash value
Points are not transferable
Kale reserves the right to verify all Actions, receipts, and transactions
In the event of a tie, Kale may apply tie-breaking criteria such as earliest completion time or other methods determined in its sole discretion.
7. Prizes
Prizes, prize quantities, and approximate retail values (if applicable) are disclosed on the Tournament page.
Prizes are non-transferable
No cash substitution except at Sponsor’s discretion
Sponsor may substitute a prize of equal or greater value if necessary
Prizes may include gift cards, merchandise, experiences, or other rewards.
8. Winner Determination & Notification
Winners are determined based on final leaderboard rankings at the end of the Tournament Period, subject to verification.
Potential winners may be required to:
Verify eligibility and identity
Provide tax or residency documentation
Complete required forms or releases
Failure to comply may result in disqualification.
9. Taxes
Winners are solely responsible for any applicable federal, state, provincial, or local taxes associated with prize receipt.
10. Content Standards & Conduct
All content and Actions must:
Be original and lawful
Comply with Platform rules and third-party platform policies
Not be deceptive, misleading, or offensive
Kale reserves the right to disqualify participants for fraud, abuse, manipulation, or rule violations.
11. Publicity
Except where prohibited by law, participation constitutes consent to Sponsor’s use of participant usernames, submitted content, likeness, and city/state or province for promotional purposes without additional compensation.
12. Limitation of Liability
Sponsor is not responsible for:
Technical failures or platform interruptions
Invalid, incomplete, or lost Actions
Third-party platform changes or restrictions
Participation is at your own risk.
13. General Conditions
Sponsor reserves the right to modify, suspend, or cancel any Tournament if fairness or integrity is compromised.
All Sponsor decisions are final.
14. Governing Law
Except where prohibited by law, these Rules are governed by the laws of the State of New York, without regard to conflict-of-law principles.
